Client Hub Solutions Inc., a Florida-based corporation (“Client Hub”, “Company”, “we”, “our”, “us”), provides its website, marketing content, and web and mobile applications (collectively, the “Service”). By registering as a user, or otherwise using any portion of our Service, you (whether as an individual or on behalf of an organization) confirm that you have read, understand, and agree to be bound by these Terms of Service (the “Agreement”), including our Privacy Policy. If you do not agree with these terms or cannot comply, please contact us at info@clienthub.app so we can work toward a solution.
We reserve the right to modify or update this Agreement at any time, in our sole discretion. When changes occur, a revised version will be posted on our website with an updated “Effective Date.” Your continued use of the Service after such modifications constitutes acceptance of the revised terms. We encourage you to review our website periodically for updates to this Agreement.
By creating an account, you consent to receiving newsletters, marketing materials, and other communications from us. You may opt out of non‑essential communications at any time using the unsubscribe link provided in our emails; however, essential communications (such as service updates, billing, and security notices) will continue.
Our Service is offered on a subscription basis (“Subscription(s)”) and billed in advance on a recurring monthly or annual cycle, as selected during registration.
Automatic Renewal: Your Subscription will renew automatically at the end of each billing period unless canceled through your account settings or by contacting customer support.
Payment Information: A valid debit or credit card is required. By providing accurate billing details, you authorize us to charge your payment method for all Subscription fees.
Billing Failures: If automatic billing fails, we will make reasonable efforts to collect outstanding amounts and may restrict access to your account until dues are settled.
At our discretion, we may offer a limited‑period free trial (“Free Trial”). You may be required to enter billing information to activate the Free Trial. No charges will be incurred until the Free Trial expires, at which point your Subscription will automatically convert to a paid plan at the prevailing rate unless canceled beforehand. We reserve the right to modify or discontinue Free Trial offers at any time without notice.
Client Hub may change Subscription fees at any time. Any fee changes will take effect at the end of the current billing cycle. We will provide reasonable advance notice, allowing you the opportunity to cancel if you do not agree with the new pricing. Continued use of the Service constitutes acceptance of the modified fees.
Except as otherwise required by law, all Subscription fees are non‑refundable. In the event of a billing error, please contact our support team at support@clienthub.app.
You retain ownership of any content (“Content”) you post, store, or share via the Service. However, by using the Service, you grant Client Hub a worldwide, non‑exclusive, royalty‑free license to use, copy, transmit, store, and back up your Content solely for the purpose of operating and improving the Service. You are solely responsible for the legality, accuracy, and appropriateness of your Content.
You agree to use the Service only for lawful purposes. You must not:
Violate any applicable law or regulation;
Exploit, harm, or attempt to harm minors;
Transmit unsolicited advertising or spam;
Impersonate Client Hub, any user, or any other person;
Engage in any conduct that infringes the rights of others or could damage, disable, or overburden the Service (including using automated tools without authorization);
Introduce viruses or other malicious code; or
Attempt unauthorized access to any part of the Service.
Violations may result in suspension or termination of your account.
We employ third‑party analytics and performance monitoring tools to understand and improve how the Service is used. All data collection practices are governed by our Privacy Policy and applicable data protection laws.
Certain features of the Service may incorporate artificial intelligence (“AI”) technologies to provide enhanced functionality and recommendations. AI‑generated outputs—including but not limited to content suggestions, data analyses, or automated responses—are provided on an “as is” basis and may not be fully accurate, complete, or up‑to‑date. You acknowledge that these outputs are intended for general informational purposes only and should not be solely relied upon for making critical decisions. Client Hub disclaims any liability for inaccuracies, errors, or omissions in AI‑generated content. Client Hub will make reasonable efforts to use AI services that do not use customer data for model training purposes; however, Client Hub disclaims any liability arising from data being processed by third‑party AI service providers.
To use the Service, you must be at least 18 years old and provide accurate, complete, and current registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Immediately notify us at info@clienthub.app if you suspect any unauthorized use or breach of your account.
The Service, including its content, features, and functionality, is the exclusive property of Client Hub and its licensors and is protected by copyright, trademark, and other laws. No portion of the Service may be reproduced or used without our prior written consent. While you retain ownership of your Data, you grant us a limited license to process and store such Data solely for providing the Service.
We respect the intellectual property rights of others and adhere to the Digital Millennium Copyright Act (“DMCA”). If you believe that any material available through the Service infringes upon your copyrighted work, you may submit a DMCA notice to our Copyright Agent at info@clienthub.app. Your notice must include:
A physical or electronic signature of the copyright owner or a person authorized to act on behalf of the copyright owner;
A description of the copyrighted work claimed to have been infringed;
A description of the location of the allegedly infringing material (for example, the URL or other specific location on the Service);
Your contact information, including your address, telephone number, and email address;
A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.
Upon receipt of a valid DMCA notice, we will take appropriate action, which may include removing or disabling access to the allegedly infringing material. If you believe that material you posted was removed or disabled in error or misidentification, you may submit a counter‑notification to our Copyright Agent. If no legal action is initiated by the complainant within the timeframe prescribed by law, we may restore the material. Client Hub complies with applicable safe harbor provisions under the DMCA and reserves the right to terminate repeat infringers as appropriate.
We welcome and appreciate your feedback, error reports, suggestions, and other communications regarding the Service (“Feedback”). By submitting Feedback to Client Hub—whether directly via email at support@clienthub.app or through any approved third‑party tool—you agree that:
Your submission is non‑confidential and non‑proprietary;
You irrevocably assign to Client Hub all rights, title, and interest, including all intellectual property rights, in and to the Feedback; and
Client Hub is free to use, modify, reproduce, distribute, or otherwise exploit the Feedback for any purpose without any obligation to you, including without compensation.
Please refrain from including any personal, sensitive, or proprietary information in your Feedback. Client Hub will not be liable for any disclosure or misuse of any such information provided in the Feedback.
The Service may include links to third‑party websites or resources. Client Hub is not responsible for the content, privacy practices, or policies of these third parties. We encourage you to review the terms and policies of any third‑party sites you visit, as we assume no liability for any loss or damage arising from your use of such sites.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
Express and Implied Warranties: TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.
Service Performance: WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Accuracy and Reliance: WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.
Third‑Party Materials: ANY MATERIAL OR SERVICES PROVIDED BY THIRD PARTIES ARE NOT UNDER OUR CONTROL, AND WE DISCLAIM ANY LIABILITY ARISING FROM THEIR USE.
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK, AND NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US SHALL CREATE ANY WARRANTY NOT EXPRESSLY SET FORTH IN THIS SECTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENT HUB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Aggregate Liability: IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE CLAIM.
Exclusive Remedies: THE REMEDIES SET FORTH IN THIS SECTION ARE EXCLUSIVE AND IN LIEU OF ALL OTHER REMEDIES, WHETHER IN CONTRACT, TORT, OR OTHERWISE.
Jurisdictional Limitations: SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if you breach any part of this Agreement. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination—such as those regarding intellectual property, disclaimers, indemnification, and limitations of liability—will remain in full force and effect.
This Agreement is governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association, except where prohibited by law.
Client Hub reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. We shall not be liable if the Service is temporarily or permanently unavailable or if any content is removed.
Waiver: No failure or delay by Client Hub in exercising any right under this Agreement shall constitute a waiver of that right.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be reformed to the minimum extent necessary to be enforceable.
Your privacy is important to us. Our data collection, storage, and processing practices are governed by our Privacy Policy, which incorporates industry standards and applicable legal requirements. Please review our Privacy Policy to understand how we safeguard your personal information. You are responsible for maintaining a backup of any data you submit, as we cannot be held liable for data loss.
You agree to indemnify, defend, and hold harmless Client Hub, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
Neither party shall be liable for any failure to perform its obligations under this Agreement if such failure is due to events beyond its reasonable control, including, but not limited to, acts of God, natural disasters, wars, terrorism, labor disputes, or governmental actions.
These Terms, together with any additional policies or guidelines referenced herein, constitute the entire agreement between you and Client Hub with respect to your use of the Service, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
You may not assign, delegate, or transfer any of your rights or obligations under this Agreement without the prior written consent of Client Hub. Client Hub may assign or transfer its rights and obligations under this Agreement, in whole or in part, at any time without notice or additional consent, including in connection with a merger, acquisition, or sale of substantially all of its assets.
